1. Acceptance of Terms

By accessing or using Hold My Spot ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Hold My Spot is a B2B software-as-a-service (SaaS) platform that provides booking management and workflow tools for service providers. The Service includes creating booking offers, managing customer information, and facilitating communication between service providers and their customers. Hold My Spot does not process payments between service providers and their customers. Service providers connect their own payment processor (such as Stripe) to collect deposits directly from their customers.

3. User Accounts

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Service Provider Responsibilities

As a service provider using Hold My Spot, you agree to:

  • Provide accurate information about your services
  • Honor the bookings and deposits collected through the platform
  • Comply with all applicable laws and regulations
  • Maintain clear cancellation and refund policies
  • Handle customer data in accordance with privacy laws

5. Subscription Billing and Fees

Hold My Spot offers subscription plans as described on our pricing page. By subscribing to a paid plan, you agree to the following billing terms:

  • Billing Cycle: Subscriptions are billed monthly in advance on the same date each month
  • Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless cancelled
  • Price Changes: We may change subscription prices with 30 days notice. Continued use after the price change constitutes acceptance
  • Payment Processing: Subscription payments are processed through Paddle, who acts as Merchant of Record. By subscribing, you agree to Paddle's terms of service

You are responsible for any applicable taxes related to your use of the Service. When Paddle is the payment processor, they act as Merchant of Record and handle VAT/sales tax on your behalf.

Refund Policy

  • We offer a 14-day money-back guarantee from the date of purchase.
  • To request a refund, email support@holdmyspot.co with the order email and reason.
  • Refunds are processed back to the original payment method.

6. Subscription Cancellation and Refunds

How to Cancel: You may cancel your subscription at any time through your account settings (Billing page) or by contacting support@holdmyspot.co.

Effect of Cancellation: Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the free tier.

Refund Policy: We offer a 14-day money-back guarantee for new subscribers. Subscription fees are generally non-refundable except in the following cases:

  • 14-Day Refund Window: If you cancel within fourteen (14) days of your initial subscription purchase and have not used the paid features substantially, you may request a full refund
  • Account Termination: If we terminate your account without cause, you will receive a prorated refund for the unused portion of your subscription
  • Service Downtime: If the Service experiences significant downtime (more than 48 consecutive hours), you may request a prorated credit for that period

Refunds After 14 Days: After the 14-day refund window has passed, subscription fees are non-refundable. You may cancel your subscription at any time, but you will not receive a refund for the current billing period.

7. Deposit Collection and Customer Payments

Hold My Spot provides workflow tools that enable service providers to manage deposit collection through their own connected payment processor. Hold My Spot does not process, hold, or transfer any customer payments. The following terms apply:

  • Service Provider Responsibility: Each service provider sets their own deposit amounts, cancellation policies, and refund terms for their customers
  • Direct Payment Relationship: All payments flow directly between customers and service providers through the service provider's connected payment account (e.g., Stripe). Hold My Spot is not a party to these transactions
  • Refunds to Customers: Refunds for customer deposits are the sole responsibility of the service provider, not Hold My Spot
  • Dispute Resolution: Any disputes between service providers and their customers regarding deposits should be resolved directly between those parties

Hold My Spot is a workflow facilitation platform only. We are not a payment processor and bear no liability for payment disputes, refunds, chargebacks, or any financial transactions between service providers and their customers.

8. Card-on-File and Pre-Authorized Charges

For service providers who use our card-on-file workflow features (Pro and Business plans), the following consent-based policies apply. Note: Card storage and payment processing are handled entirely by the service provider's connected payment processor (e.g., Stripe). Hold My Spot does not store or process payment card data.

  • Explicit Consent Required: Customers must provide explicit written consent before their payment method can be saved by the service provider's payment processor for future charges. This consent is obtained through a clear authorization form during booking.
  • Consent Records: All customer authorizations are logged with timestamps, IP addresses, and the specific policy text they agreed to. These records are available for compliance and dispute resolution.
  • Authorized Charges Only: Saved payment methods may only be charged by the service provider for fees that the customer explicitly agreed to in advance, such as late cancellation fees or no-show fees as specified in the provider's policy.
  • Clear Policy Display: Service providers must clearly display their cancellation and fee policies to customers before authorization. Customers see and acknowledge these terms before providing consent.
  • Right to Revoke: Customers may request removal of their saved payment method at any time by contacting the service provider.

Service providers using card-on-file features are responsible for ensuring their policies are clear, reasonable, and communicated to customers before obtaining consent. Hold My Spot provides the workflow interface but does not store payment credentials, process charges, or guarantee individual provider policies. All payment operations occur through the service provider's own payment processor account.

9. Prohibited Uses

You may not use the Service to:

  • Violate any laws or regulations
  • Collect deposits for illegal services
  • Engage in fraudulent activities
  • Transmit malware or harmful code
  • Interfere with the Service's operation
  • Impersonate others or misrepresent your identity

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Hold My Spot and are protected by international copyright, trademark, and other intellectual property laws.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may terminate your account at any time through your account settings. Upon termination, you will have a 30-day grace period to download your data before it is permanently deleted.

12. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

In no event shall Hold My Spot be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

14. Indemnification

You agree to indemnify and hold harmless Hold My Spot and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
